Please read these Terms and Conditions ("Terms") carefully before using Sanctom's platform, website, or services. These Terms constitute a legally binding agreement between you and Sanctom ("Sanctom," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not access or use our Services.

1.  Acceptance of Terms

By creating an account, subscribing to any membership tier, accessing the Sanctom platform, or otherwise using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. You also represent that you have the legal capacity to enter into binding agreements in your jurisdiction.

These Terms apply to all users of the Sanctom platform, including members, Independent Providers, referral partners, and any other individuals who access our Services.

2.  Eligibility

You must be at least 18 years of age to use Sanctom's Services. By using our Services, you represent and warrant that you are 18 years of age or older. Sanctom does not knowingly permit individuals under the age of 18 to create accounts or access the platform. If we learn that a user is under 18, we will terminate their account immediately.

You represent that you are not (a) barred from using the Services under applicable law, (b) previously suspended or removed from Sanctom for violation of these Terms, or (c) subject to any legal restriction that would prevent your use of the Services.

3.  Account Registration and Security

To access most features of our platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration

  • Maintain and promptly update your account information

  • Keep your password and account credentials secure and confidential

  • Notify us immediately of any unauthorized access to or use of your account

  • Accept responsibility for all activity that occurs under your account

You may not share your account credentials, create multiple accounts, or use another person's account. Sanctom is not liable for any loss or damage arising from your failure to maintain account security.

4.  The Sanctom Platform — Marketplace Model

Sanctom operates as a technology platform and marketplace that connects members with independent service providers, facilitates community interaction, and hosts third-party content. Sanctom is not itself a provider of coaching, therapy, medical, legal, wellness, or any other professional or personal development services.

Our Services include, but are not limited to:

  • A community platform connecting members navigating similar life experiences

  • A marketplace enabling members to discover and engage with Independent Providers

  • Scheduling infrastructure (via Cal.com) to facilitate session booking between members and Independent Providers

  • A content hosting environment where Independent Providers may publish courses, videos, articles, and other materials

  • Community discussion spaces, group sessions, and shared resources

  • A merchandise store (operated via Shopify)

  • Referral and affiliate program participation (managed via Partnero)

Sanctom reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with reasonable notice where practicable.

5.  Independent Providers

5.1  Provider Independence — Not Sanctom Employees or Agents

All coaches, practitioners, licensed professionals, content creators, and other service providers available through the Sanctom platform (collectively, "Independent Providers" or "Providers") are independent contractors. They are not employees, agents, partners, joint venturers, or representatives of Sanctom in any capacity.

Sanctom does not direct, supervise, or control the manner or means by which Independent Providers deliver their services or produce their content. Each Independent Provider is solely responsible for the services they provide, the content they publish, their professional conduct, their compliance with applicable laws and professional licensing requirements, and the accuracy of any credentials or qualifications they represent on the platform.

IMPORTANT: Sanctom is not responsible for the acts, omissions, services, content, or representations of any Independent Provider. Any engagement between you and an Independent Provider is a direct relationship between you and that Provider.

5.2  Provider Types and Your Responsibility to Review Credentials

The Sanctom platform may host a diverse range of Independent Providers, which may include:

  • Personal development and life coaches (unlicensed)

  • Licensed mental health professionals (e.g., licensed therapists, psychologists, licensed clinical social workers, licensed professional counselors, marriage and family therapists)

  • Medical and wellness professionals (e.g., physicians, nurse practitioners, registered nurses, certified health coaches)

  • Legal professionals (e.g., licensed attorneys)

  • Career and professional development coaches and counselors

  • Relationship and intimacy coaches and therapists

  • Spiritual, mindfulness, and wellness practitioners

  • Content creators, educators, and subject-matter experts

Sanctom displays credential and licensure information provided by Independent Providers on their profiles. However, Sanctom does not independently verify all credentials, licenses, certifications, or professional standing of Independent Providers. It is your responsibility as a member to review a Provider's stated credentials, ask any questions you have about their qualifications, and make an informed decision about whether to engage with them.

5.3  No Endorsement

The listing of an Independent Provider on the Sanctom platform does not constitute an endorsement, recommendation, or guarantee by Sanctom of that Provider's qualifications, capabilities, or the quality of their services. Sanctom does not guarantee that any Provider is suitable for your particular needs or circumstances.

5.4  Licensed Professionals — Practice Within Their Own Scope

Where an Independent Provider holds a professional license (including but not limited to mental health, medical, or legal licenses), they are responsible for practicing within the scope of their license in the jurisdiction(s) in which they are licensed. Sanctom does not regulate or supervise the professional practice of licensed Independent Providers. Licensed Providers are bound by the ethical rules, practice standards, and legal obligations of their respective licensing boards, regardless of the context in which they deliver services through the Sanctom platform.

If you engage with a licensed professional through Sanctom, the nature of that engagement — whether it constitutes a licensed professional-client relationship (e.g., therapist-client, attorney-client) — is determined by the applicable professional rules of conduct and the agreement between you and the Provider, not by Sanctom's platform designation.

5.5  Point-of-Use Acknowledgments

Before accessing certain services or content on the platform, you will be asked to review and acknowledge specific disclaimers appropriate to the nature of the service. These point-of-use acknowledgments are part of these Terms and are incorporated herein by reference. Depending on the service type, acknowledgments may address:

  • The independent contractor status of the Provider

  • The non-clinical nature of unlicensed coaching services

  • The scope and limitations of any licensed professional service

  • Content maturity or subject-matter sensitivity (e.g., sexuality and intimacy content)

  • Jurisdictional limitations (e.g., for legal services, a licensed attorney may only practice law in the jurisdiction(s) in which they are licensed)

  • The distinction between coaching and emergency or crisis services

5.6  Emergency Situations — Seek Immediate Help

No service or content available through the Sanctom platform — whether provided by an unlicensed coach or a licensed professional — is a substitute for emergency care. If you are experiencing a mental health crisis, thoughts of self-harm or suicide, a medical emergency, or any other situation requiring immediate intervention, please contact emergency services (911) or a crisis helpline immediately. Independent Providers on the Sanctom platform are not equipped or obligated to respond to clinical emergencies.

5.7  No Guarantee of Outcomes

Sanctom does not guarantee that any engagement with an Independent Provider will produce any specific result, outcome, or improvement. Outcomes depend on many factors including the member's circumstances, the Provider's individual approach, and variables outside the control of Sanctom or the Provider.

6.  Provider Content and Third-Party Content

6.1  Provider-Generated Content

Independent Providers may publish content on the Sanctom platform including courses, videos, articles, posts, discussion responses, and other materials (collectively, "Provider Content"). Provider Content is created by and is the responsibility of the Independent Provider who publishes it. Sanctom hosts Provider Content as a technology platform and does not author, edit, endorse, or take responsibility for the accuracy, completeness, safety, or appropriateness of Provider Content.

Your access to and use of Provider Content is at your own risk. Sanctom encourages you to exercise your own judgment when consuming Provider Content, particularly on sensitive topics including but not limited to mental health, medical matters, legal matters, and sexuality and intimacy.

6.2  Platform Host — Limited Liability for Third-Party Content

Sanctom's role with respect to Provider Content and other third-party content on the platform is that of a technology platform host. Sanctom is not the publisher or speaker of Provider Content and does not assume liability for Provider Content to the extent permitted by applicable law, including Section 230 of the Communications Decency Act (47 U.S.C. § 230), subject to its limitations.

6.3  Content Moderation

Sanctom reserves the right (but not the obligation) to review, remove, or restrict access to Provider Content that violates these Terms, our content policies, or applicable law. The exercise of moderation discretion does not make Sanctom the publisher of Provider Content or affect the independent contractor status of the Provider.

7.  Membership and Subscriptions

7.1  Membership Tiers

Sanctom offers membership plans at various price points and with varying levels of platform access. Current membership options and pricing are available on our website. We reserve the right to modify our membership offerings at any time, with notice to existing members as set forth in Section 20.

7.2  Subscription Terms

Memberships are sold on a subscription basis (monthly or annual, as selected at checkout) and are managed through Recurly, our subscription billing platform. By subscribing, you authorize Sanctom to charge your payment method on a recurring basis at the applicable rate until you cancel. You will be charged at the start of each billing period.

7.3  Free Trials

If Sanctom offers a free trial, the terms of the trial will be stated at the time of sign-up. Unless you cancel before the end of the trial period, your subscription will automatically begin and your payment method will be charged.

7.4  Provider Fees

Certain services offered by Independent Providers through the platform may carry fees separate from and in addition to your Sanctom membership subscription. These fees are set by the Independent Provider. Any agreement regarding fees for Provider services is between you and the Independent Provider.

8.  Payment and Billing

All payments are processed through Authorize.Net, our payment gateway. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge it for your subscription and any applicable fees.

  • Pricing is displayed in US dollars and is subject to change with notice to existing subscribers

  • Applicable taxes will be calculated and added to your invoice via Avalara, our tax compliance platform

  • If a payment fails, access to Services may be suspended during periods of non-payment

  • All charges are non-refundable except as expressly stated in Section 9 or as required by applicable law

9.  Cancellation and Refunds

9.1  Cancellation

You may cancel your subscription at any time through your account settings or by contacting: success@sanctom.io. Cancellation takes effect at the end of your current billing period. You will retain access to your membership through the end of the period for which you have paid. Sanctom does not provide pro-rated refunds for unused portions of a billing period.

9.2  Refund Policy

Except as required by applicable law or as expressly stated at the time of purchase, all subscription fees are non-refundable. If you believe you have been charged in error, contact: success@sanctom.io within [30] days of the charge. We will review your request and respond within 10 business days.

9.3  Provider Service Refunds

Refund requests for fees paid directly to Independent Providers for their services or content are subject to the refund policies of the individual Provider, which should be reviewed before purchase. Sanctom is not responsible for refunding fees paid to Independent Providers.

10.  User Conduct

By using Sanctom's platform, you agree not to:

  • Violate any applicable law, regulation, or third-party rights

  • Harass, threaten, intimidate, or harm any other member, Independent Provider, or Sanctom employee

  • Share content that is abusive, discriminatory, obscene, defamatory, or otherwise objectionable

  • Share another person's private information without their consent

  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

  • Use the platform to solicit members for competing services outside the platform

  • Attempt to gain unauthorized access to any part of the platform or its systems

  • Use automated tools (bots, scrapers, crawlers) to access or extract content from the platform

  • Upload or transmit malicious code, viruses, or other harmful software

  • Engage in any activity that disrupts or degrades the performance of the platform

Sanctom reserves the right to remove any content and suspend or terminate any account that violates these conduct standards, at our sole discretion and without prior notice.

11.  Content and Intellectual Property

11.1  Sanctom's Intellectual Property

All content, features, and functionality of the Sanctom platform — including but not limited to text, graphics, logos, icons, images, audio clips, and software — are the exclusive property of Sanctom or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or exploit any Sanctom content without our prior written consent.

11.2  Your Content

You retain ownership of content you submit to the platform ("Member Content"). By submitting Member Content, you grant Sanctom a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your Member Content as necessary to provide and operate the Services. You represent that you own or have the necessary rights to grant this license, and that your Member Content does not violate any third-party rights or applicable law.

11.3  Provider Content

Independent Providers retain ownership of content they create and publish on the platform, subject to any separate agreement between Sanctom and the Provider. Sanctom is granted a license to host, display, and distribute Provider Content as necessary to operate the platform.

11.4  Feedback

If you provide feedback, suggestions, or ideas about the platform, you grant Sanctom the right to use that feedback without restriction, attribution, or compensation.

12.  Privacy

Your use of Sanctom's Services is subject to our Privacy Policy, available at: https://sanctom.io/privacy. The Privacy Policy is incorporated into these Terms by reference and describes how we collect, use, and protect your personal information.

Please be aware that Independent Providers may have their own privacy and confidentiality obligations independent of Sanctom's Privacy Policy — in particular, licensed mental health professionals, medical professionals, and attorneys may be subject to professional confidentiality rules, mandatory reporting obligations, and in certain cases federal and state privacy laws (including HIPAA for covered health providers). Sanctom's Privacy Policy governs Sanctom's data practices only; it does not govern the independent obligations of any Provider.

13.  Third-Party Services and Links

Our platform integrates with and may link to third-party services (including but not limited to Cal.com for scheduling, Shopify for merchandise, and Partnero for referral programs). These third-party services are governed by their own terms and privacy policies. Sanctom is not responsible for the practices, content, or availability of any third-party services.

For clarity, Independent Providers are themselves third parties with respect to Sanctom. Sanctom's relationship with Independent Providers is governed by separate Provider agreements.

14.  Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SANCTOM'S SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SANCTOM EXPRESSLY DISCLAIMS ANY WARRANTY OR REPRESENTATION REGARDING: (A) THE QUALIFICATIONS, CREDENTIALS, OR COMPETENCE OF ANY INDEPENDENT PROVIDER; (B) THE QUALITY, SAFETY, ACCURACY, OR APPROPRIATENESS OF ANY SERVICES OR CONTENT PROVIDED BY AN INDEPENDENT PROVIDER; (C) THE SUITABILITY OF ANY PROVIDER OR SERVICE FOR YOUR PARTICULAR NEEDS; OR (D) ANY OUTCOME RESULTING FROM YOUR ENGAGEMENT WITH AN INDEPENDENT PROVIDER.

SANCTOM DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

15.  Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SANCTOM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO: (A) YOUR USE OF THE SERVICES; (B) ANY SERVICES OR CONTENT PROVIDED BY AN INDEPENDENT PROVIDER; (C) ANY INTERACTION BETWEEN YOU AND AN INDEPENDENT PROVIDER; OR (D) ANY PROVIDER CONTENT, EVEN IF SANCTOM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SANCTOM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SANCTOM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Sanctom's liability will be limited to the maximum extent permitted by law.

16.  Indemnification

You agree to indemnify, defend, and hold harmless Sanctom, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your Member Content; or (e) your engagement with any Independent Provider.

17.  Dispute Resolution and Arbitration

17.1  Informal Resolution

Before initiating any formal dispute, you agree to contact Sanctom at: success@sanctom.io and attempt to resolve the dispute informally for at least 30 days.

17.2  Disputes With Independent Providers

Any dispute arising from or related to your engagement with an Independent Provider — including disputes about services rendered, content accessed, fees charged by the Provider, or professional conduct — is a dispute between you and that Provider. Sanctom is not a party to such disputes and has no obligation to mediate, resolve, or compensate for outcomes of Provider-member disputes. Sanctom may, at its discretion, provide a dispute reporting mechanism or cooperate with investigations, but this does not create liability on Sanctom's part.

17.3  Binding Arbitration

Any dispute, claim, or controversy between you and Sanctom arising from or relating to these Terms or the Services will be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), except as stated below. The arbitration will take place in Texas, and judgment on the award may be entered in any court of competent jurisdiction.

17.4  Class Action Waiver

YOU AND SANCTOM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.

18.  Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law provisions. Subject to the arbitration agreement in Section 17, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Dallas, Texas for any disputes not subject to arbitration.

19.  Termination

Sanctom reserves the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including violation of these Terms. You may terminate your account at any time as described in Section 9.

Upon termination: (a) your right to use the Services immediately ceases; (b) any outstanding payment obligations survive termination; (c) Sections 6, 11, 14, 15, 16, 17, and 18 survive termination indefinitely.

20.  Modifications to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by displaying a notice on our platform at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and cancel your subscription before the changes take effect.

21.  General Provisions

21.1  Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Sanctom with respect to the Services and supersede all prior or contemporaneous communications and agreements.

21.2  Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

21.3  Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of those rights.

21.4  Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. Sanctom may assign its rights under these Terms without restriction.
